1 Contracting parties, scope of application and conclusion of contract <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

1.1 These General Terms and Conditions (\"GTC\") shall apply in the version valid at the time of conclusion of the contract to all business relationships of Time Change GmbH, with its registered office at Kaiserdamm 88, 14057 Berlin and registered in the Commercial Register of the Local Court of Berlin (Charlottenburg) under HRB 149636 (\"Time Change\") with entrepreneurs within the meaning of \u00a7 14 BGB (\"Customer\", Time Change and Customer together also \"Parties\"), who use Time Change's services in the field of event management of business events, i.e. events that can be attributed to the Customer's commercial, business, craft or professional activity (\"Business Events\"). i.e. events that can be attributed to the commercial, business, trade or professional activity of the Customer (\"Business Events\").<\/p>

1.2 Unless otherwise agreed, the GTC in the version valid at the time of conclusion of the contract shall also apply to similar future contracts without Time Change having to refer to them again in each individual case. In the event of material changes to the GTC, these shall only become part of the contract if Time Change has referred to these changes when concluding the new contract. Deviating, conflicting or supplementary general terms and conditions of the Customer shall not become part of the contract, even if they are known, unless their validity is expressly agreed in writing. This shall also apply if Time Change provides its services without reservation.<\/p>

1.3 Individual agreements made with the customer in individual cases, including warranties, collateral agreements and other supplementary and amendment agreements, shall take precedence over these GTC. Subject to proof to the contrary, a written contract or the written confirmation of Time Change shall be decisive for the content of these agreements, unless another form is expressly stipulated in these GTC.<\/p>

1.4 Provisions of the package travel contract shall not apply (Section 651a (5) No. 3 BGB).<\/p>

1.5 The type and scope of the contractual services requested by the Customer as well as the prices are set out in Time Change's offer (also referred to as \"Budget\"). All information provided by Time Change in offers is subject to change and non-binding, unless it is expressly marked as binding. Prices for services of service providers for which contract mediation has been agreed in accordance with Section 2.3 shall remain non-binding for Time Change even after order confirmation, as the contractual relationship is established directly between the Customer and the service provider. The Customer's order based on an offer from Time Change constitutes a binding application by the Customer to conclude a corresponding contract. After placing an order with Time Change by signing the offer, Time Change shall send the Customer a countersigned offer in the event that it is to be accepted, whereby the contract for the contractual services is concluded.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

2. Scope of services and provision of the contractual service <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

2.1 Depending on the subject of the order, Time Change's services include services in the area of planning, organization, implementation and support of business events. This also includes calculating the costs of the business event.<\/p>

2.2 Time Change shall provide its services in accordance with the Client's specifications and shall coordinate closely with the Client to ensure the success of the event.<\/p>

2.3 Depending on the type of service requested by the Customer, it may make sense for the successful course of the business event that individual services related to the business event are not provided by Time Change, but by separately commissioned service providers, for example in connection with the booking of hotels and restaurants, the transportation of event participants, the provision of event staff, the catering of event participants, a sports offer or the offer of excursions for event participants (\"third-party services\"). Unless expressly agreed otherwise in the contract, the commissioning of third-party services shall take place
- for travel services within the meaning of Section 25 UStG (in particular hotel accommodation and transport) by means of mediation of the service between the service provider and the customer (\"contract mediation\"), whereby Time Change concludes the contract with the service provider on behalf of the customer if authorized to do so,
\u2022 im \u00dcbrigen mittels Unterbeauftragung durch Time Change (\u201eUnterbeauftragung\u201c).<\/p>

2.4 Time Change undertakes to conscientiously and carefully select and monitor the service providers in accordance with the duty of care of a prudent businessman. The Customer may only object to the use of subcontractors for good cause. Insofar as third-party services are commissioned in the form of contract mediation, Time Change shall provide support with regard to the conclusion of the contract between the service provider and the Customer, but shall not owe any success.<\/p>

2.5 With regard to any cooperation with the authorities that may become necessary (obtaining permits, registrations, etc.), Time Change shall provide support to the Customer, who shall bear responsibility for this. In addition, Time Change undertakes to comply with the Customer's instructions regarding compliance with statutory or official regulations in connection with the implementation of the business event.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

3. Services of the customer, obligation to cooperate <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

3.1 A business event will only ever proceed as desired if the Customer and Time Change cooperate in the planning, execution and organization of the business event. The Customer is therefore obliged to support Time Change to a reasonable extent and to provide the support services requested by Time Change at its own expense. In this context, the Customer is also obliged to name a contact person to Time Change in good time who will organize and coordinate the support services at the Customer's premises.<\/p>

3.2 If, for the successful course of the business event, services of third parties pursuant to 2.3 are to be provided by way of contract mediation, the Customer undertakes to conclude the contracts mediated by Time Change, provided that there are no legitimate reasons to the contrary. In the event that the Customer sees justified reasons that prevent the conclusion of the contract with the mediated service provider, the Customer shall inform Time Change of this immediately in text form and, together with Time Change, determine a suitable alternative service provider and then commission this.<\/p>

3.3 Insofar as the Customer provides Time Change with information, documents or templates for use at the business event (this also includes templates for the use of the company logo), he assures that he is authorized to do so. The Customer shall indemnify Time Change against all claims in connection with the use of such information, documents or templates and shall grant Time Change simple rights of use for the purpose of fulfilling the contract.<\/p>

3.4 The Customer is obliged to comply with the legal requirements when providing information, documents or templates to Time Change, including the data protection provisions of the GDPR, if this involves the processing of personal data. The Customer shall therefore only provide Time Change with such data (e.g. data of guests of the business event) insofar as there is a legal basis for this.<\/p>

3.5 The customer is obliged to obtain any necessary permits for the implementation of the business event that is the subject of an order in good time and to ensure that legal or official regulations in connection with the implementation of the business event (e.g. regulations for protection against the Corona virus, regulations in connection with photo or video recordings of participants, youth protection regulations, etc.) are complied with.<\/p>

3.6 The customer undertakes to have event liability insurance for personal injury and property damage with an appropriate amount of cover for each business event that is the subject of an order and to provide proof of this to Time Change upon request.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

4. Dates, changes to services and cancellation <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

\n\t\t\t\t\t\t\t\t\t

4.1 Event management is characterized by the need for adaptability to changing conditions. Against this background, the parties shall notify each other without delay of any changes or deviations from the agreed content of an order which they wish to make or which become necessary after the conclusion of an order; where possible, notification shall be made in text form, but may also be made verbally if action is required at short notice. Insofar as the agreed content of the order is not or only insignificantly affected by the changes and the implementation of the change request is possible without or with only insignificant time and financial expenditure, the other party must accept the change request, but may invoice the additional expenditure incurred as a result of the change. If a change request leads to a significant change in the subject matter of an order (e.g. different type of event, rescheduling or different group size), the parties shall negotiate the change to the respective order with the aim of implementing it with adjusted conditions, which must be recorded in writing. In the event of a change request that is not within the sphere of Time Change (this also includes official requirements), the customer's obligation to pay the remuneration agreed for the original order and Time Change's obligation to fulfill the order shall remain in force until the parties have agreed on a change to the order in writing.<\/p>

4.2 In the event of unforeseen events, in particular force majeure, Time Change shall be entitled to interrupt and modify the order accordingly for the duration of the obstacle. Events are unforeseeable if they are beyond Time Change's control and their consequences could not have been avoided even if all reasonable precautions had been taken (\"force majeure\"; as an example, reference is made to the impracticability of events during the Corona pandemic, strikes, accidents, storms, etc.). In the event of force majeure, the parties shall endeavor to find an amicable solution. In the event that the duration of the force majeure exceeds six months, the parties shall each have a special right of termination in respect of the order affected by the force majeure. The Customer shall reimburse Time Change for the costs and pay the remuneration demonstrably incurred by Time Change up to the time of the force majeure in connection with the implementation of the order as well as the costs incurred by the force majeure in connection with the order. If the order is carried out in a modified form or at a later date, this amount shall be set off against the agreed remuneration, unless the additional costs are due to force majeure.<\/p>

4.3 Time Change shall also endeavor to comply with the Customer's cancellation requests and to keep the costs incurred low. Unless otherwise stipulated in the respective budget, the following cancellation fees of the contractually agreed total remuneration, which correspond to the damage to be expected in the normal course of events, shall apply to cancellations made by the Customer in writing before the start of the business event (receipt by Time Change is decisive) or for other reasons that are not within the sphere of Time Change (this also includes official requirements):
- 90 days 35%
- 50 days 50 %
- Up to 30 days 75%
- From 30 days 100 %<\/p>

4.4 Time Change reserves the right to claim higher compensation instead of the flat-rate cancellation fees if Time Change proves that it has incurred higher expenses (e.g. due to higher cancellation fees of subcontractors). In this case, Time Change is obliged to quantify and substantiate the claimed compensation, taking into account the saved expenses and any other use of the services.<\/p>

4.5 The Customer is entitled to make a payment reduced by the saved expenses compared to the cancellation fee provided for in Section 4.2 by submitting appropriate evidence of saved expenses by Time Change. For all cancellations after the conclusion of the contract, however, a fee of at least 8% of the contractually agreed total remuneration shall be paid to Time Change for processing the cancellation.<\/p>

4.6 Unless otherwise agreed in writing, dates agreed in an order are not fixed dates but target dates. As soon as the parties foresee that a deadline will not be met, they shall inform each other and work together to ensure that the postponement has as little negative impact as possible on the business event.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

5 Concept, presentation, copyright protection <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

5.1 All services provided by Time Change in connection with an order (e.g. concepts, presentations, etc.) as well as individual parts thereof shall remain the property of Time Change. By paying the remuneration, the Customer shall only acquire the right of use for the respective business event in accordance with Time Change's specifications. Additions or changes to Time Change's services by the Customer are only permitted with the express written consent of Time Change.<\/p>

5.2 The information, documents or templates provided to Time Change by the Customer as well as individual parts thereof shall remain the property of the Customer. Time Change shall only acquire the right of use for the respective business event in accordance with the Customer's specifications. Additions or changes to information, documents or templates of the Customer by Time Change are only permitted with the express written consent of the Customer.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

6. Remuneration and reimbursement of costs <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

6.1 Unless otherwise agreed in the respective budget, the customer shall pay for the services of Time Change Remuneration on a time and material basis at the following daily rates
Project manager 560 \u20ac
Senior Project Manager 800 \u20ac
Production manager 950 \u20ac
Creative Director 800 \u20ac
Social Media Manager 500 \u20ac
Performance Manger 650 \u20ac
Graphic designer 500 \u20ac
Developer 900\u20ac
and reimbursement of costs at Time Change's discretion either in the amount of the costs calculated in the order or in the amount of the costs incurred, which Time Change shall prove to the Customer by means of suitable receipts.<\/p>

6.2 Insofar as an external service is provided by subcontracting within the meaning of \u00a7 2.3, the Customer shall reimburse the remuneration and costs incurred at Time Change's discretion either in the amount of the costs calculated in the order for the relevant external service or in the amount of the costs incurred, which Time Change shall prove to the Customer by means of suitable receipts. Higher costs to be reimbursed by the Customer may also arise due to exchange rate fluctuations.<\/p>

6.3 Insofar as a third-party service is provided through contract mediation within the meaning of \u00a7 2.3, the costs calculated in the offer are non-binding. The Customer becomes the direct contractual partner of the service provider and pays the agreed remuneration at its discretion to Time Change, which forwards it to the service provider, or directly to the service provider. Time Change shall receive an agency fee of 20% for the agency service.<\/p>

6.4 Services of Time Change not defined in the budget shall only be remunerated if this has been agreed with the Client in text form in advance. If it does not make sense to specify the change to the order in text form under the circumstances - for example due to urgency, because the need is only recognized during the implementation of the business event - the contract amendment can also be made verbally as an exception.<\/p>

6.5 Time Change shall be entitled to invoice additional expenses incurred due to the behavior of the customer or the participants in the business event in addition to the agreed remuneration without prior notice, e.g. a delay surcharge due to the participants of a business event being late compared to the agreed times.<\/p>

6.6 Any fees, public charges and other costs incurred, such as GEMA fees and other royalties, artists' social security contributions and customs costs, liability and other damage insurance, official registrations, energy, water and waste disposal costs, etc. shall be borne by the customer.<\/p>

6.7 Travel expenses incurred by Time Change in connection with the fulfillment of an order shall be invoiced on a time and material basis and shall be reimbursed by the customer upon presentation of appropriate receipts. Flights up to 4 hours travel time shall be in economy class, rail travel in 2nd class. Journeys by car are charged at EUR 0.85 per kilometer.<\/p>

6.8 All services provided by Time Change are subject to statutory value added tax, insofar as this is actually incurred and unless otherwise stated.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

7. Due date of payment, default, method of payment <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

7.1 Payment shall be due upon conclusion of the contract. Time Change shall settle its services by means of regular invoices. Invoices shall be paid within the agreed period, but no later than 14 working days from receipt of the invoice by the customer without deduction, unless otherwise agreed in writing.<\/p>

7.2 Time Change is entitled to demand partial payments to cover its expenses and for external services by way of subcontracting depending on the event phase. Unless otherwise agreed in writing, Time Change shall invoice the agreed remuneration as follows:
- Immediately after conclusion of the contract 75%
- 30 days before the start of the event 25%.<\/p>

7.3 If the Customer is in default of payment and a reasonable grace period set by Time Change fails, Time Change has the right to refuse performance. Time Change may demand default interest in the amount of nine percentage points above the base interest rate for the year. The assertion of a proven higher damage caused by default remains reserved.<\/p>

7.4 Payment shall be made in EURO (EUR) to the Time Change account specified in the Service Agreement.
In the case of other payment methods, e.g. credit card, or if bank charges are levied, the customer must reimburse Time Change separately for the additional costs incurred.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

8. Warranty, liability, compensation <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

8.1 The Client acknowledges that the evaluation of event management services depends on the individual taste of each person and that the events carried out do not always suit everyone. This does not imply that Time Change's services are deficient.<\/p>

8.2 The liability of Time Change, including its legal representatives and vicarious agents, is excluded, with the exception of
\u2022 for damages resulting from injury to life, limb or health due to a negligent breach of duty or an intentional or negligent breach of duty by a legal representative or vicarious agent,
\u2022 for damages arising from the culpable breach of a material contractual obligation (cardinal obligation),
\u2022 for other damages resulting from a grossly negligent breach of duty by Time Change or its legal representative or vicarious agent.<\/p>

8.3 Insofar as a cardinal obligation within the meaning of 8.1 is negligently breached, liability shall be limited to the foreseeable damage typical for the contract, which shall not exceed the amount of the agreed remuneration for the respective business event that is the subject of an order. An essential contractual obligation comprises those obligations that make the proper execution of the contract possible in the first place and on whose compliance the parties may regularly rely.<\/p>

8.4 Claims for damages against Time Change are excluded in the event of force majeure.<\/p>

8.5 Indirect damage and consequential damage resulting from defects in the contractual service shall only be eligible for compensation if such damage is typically to be expected when the contractual service is used as intended. Insofar as Time Change provides technical information or acts in an advisory capacity and this information or advice is not part of the contractually agreed scope of services owed by Time Change, this shall be provided free of charge and to the exclusion of contractual liability.<\/p>

8.6 Time Change haftet nicht f\u00fcr Fehler der Vertragsleistungen, die durch Fehler des Kunden oder die Teilnehmer an der gesch\u00e4ftlichen Veranstaltung verursacht worden sind oder die nicht von Time Change zu vertreten sind, und h\u00e4lt Time Change von Anspr\u00fcchen Dritter in diesem Zusammenhang frei.<\/p>

8.7 Die Verj\u00e4hrung f\u00fcr Haftungsanspr\u00fcche des Kunden gegen\u00fcber Time Change betr\u00e4gt ein Jahr.<\/p>

8.8 Der Kunde ist als Veranstalter f\u00fcr die jeweilige gesch\u00e4ftliche Veranstaltung, die Gegenstand eines Auftrags ist, verantwortlich und h\u00e4lt Time Change von Anspr\u00fcchen Dritter im Zusammenhang mit der gesch\u00e4ftlichen Veranstaltung frei, insofern nicht Time Change nach diesem Vertrag gegen\u00fcber dem Kunden hierf\u00fcr haftet. Dies gilt auch f\u00fcr Nicht- oder Schlechtleistungen von Fremdleistungen, f\u00fcr die Time Change \u00fcber ihre Verpflichtungen dieses Vertrags und des jeweiligen Auftrags hinaus nicht verantwortlich ist.<\/p>

8.9 Die Beteiligung an Aktivit\u00e4ten der Veranstaltungsteilnehmer muss der Kunde selbst verantworten. Sportanlagen, Ger\u00e4te und Fahrzeuge sollen vor Inanspruchnahme \u00fcberpr\u00fcft werden. Time Change empfiehlt den Abschluss einer Unfallversicherung.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

9.1 Die ordentliche K\u00fcndigung eines geschlossenen Auftrags ist keiner der Parteien m\u00f6glich. Es wird jedoch auf \u00a7 4.2 verwiesen.<\/p>

9.2 Das Recht zur K\u00fcndigung aus wichtigem Grund bleibt unber\u00fchrt.<\/p>

9.3 K\u00fcndigt Time Change berechtigt aus wichtigem Grund, so ist der Kunde verpflichtet, Time Change die Kosten zu erstatten und die Verg\u00fctung zu zahlen, die zu Lasten von Time Change nachweislich bis zum Zeitpunkt der K\u00fcndigung im Zusammenhang mit der Umsetzung des Auftrags entstanden sind.<\/p>

9.4 Die K\u00fcndigung bedarf der Schriftform.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

10. Confidentiality, references <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

10.1 Im Zuge der Erf\u00fcllung dieses Vertrages kann es erforderlich werden, dass die Parteien sich gegenseitig Informationen offenbaren, die bisher weder insgesamt noch in ihren Einzelheiten bekannt oder ohne weiteres zug\u00e4nglich waren, deshalb von wirtschaftlichem Wert sind und daher von der jeweils offenbarenden Partei durch angemessene Geheimhaltungsma\u00dfnahmen gesch\u00fctzt sind (\u201eVertrauliche Informationen\u201c). Als vertrauliche Informationen z\u00e4hlen insbesondere,<\/p>

\u2022 Gesch\u00e4ftsgeheimnisse, Know-How, Erfindungen, gesch\u00e4ftliche Beziehungen, Gesch\u00e4ftsstrategien, Businesspl\u00e4ne, Finanzplanungen, Personalangelegenheiten, digital verk\u00f6rperte Informationen (Daten),
\u2022 jegliche Unterlagen und Informationen der offenbarenden Partei, die Gegenstand technischer und organisatorischer Geheimhaltungsma\u00dfnahmen sind und als vertraulich gekennzeichnet sind oder nach Art der Information oder den Umst\u00e4nden der \u00dcbermittlung als vertraulich anzusehen sind.<\/p>

10.2 Die Parteien verpflichten sich,
\u2022 die gegenseitig offenbarten Vertraulichen Informationen ohne ausdr\u00fcckliche schriftliche Einwilligung der jeweils offenbarenden Partei nicht selbst zu verwerten und
\u2022 die Vertraulichen Informationen streng vertraulich zu behandeln und nur im Zusammenhang mit den Zwecken dieses Vertrags zu verwenden.<\/p>

10.3 Die Pflicht nach \u00a7 10.2 gilt nicht, soweit eine Partei durch gesetzliche, beh\u00f6rdliche oder gerichtliche Anordnung verpflichtet wird, Vertrauliche Informationen zu offenbaren. In diesem Fall wird die zur Offenbarung verpflichtete Partei die jeweils andere Partei \u2013 soweit zul\u00e4ssig \u2013 unverz\u00fcglich schriftlich hier\u00fcber informieren und die Offenbarung auf das nach der jeweiligen Anordnung zwingend notwendige Ma\u00df beschr\u00e4nken.<\/p>

10.4 Die Pflicht nach \u00a7 10.2 gilt dar\u00fcber hinaus nicht f\u00fcr Informationen, die der \u00d6ffentlichkeit oder der empfangenden Partei vor der Mitteilung oder \u00dcbergabe durch die andere Partei nachweislich bekannt oder allgemein zug\u00e4nglich waren oder dies zu einem sp\u00e4teren Zeitpunkt ohne Versto\u00df gegen eine Geheimhaltungspflicht werden sowie f\u00fcr Informationen, welche die empfangene Partie ohne Nutzung oder Bezugnahme auf die Vertraulichen Informationen der offenbarenden Partei selbst gewonnen hat oder die der empfangenden Partei von einem berechtigten Dritten ohne Versto\u00df gegen eine Geheimhaltungspflicht \u00fcbergeben oder zug\u00e4nglich gemacht werden.<\/p>

10.5 Die vorstehenden Pflichten bestehen auch nach Erf\u00fcllung des Auftrags und\/oder Beendigung dieser Vereinbarung fort.<\/p>

10.6 Time Change ist berechtigt, den Kunden als Referenzkunden in seiner Referenzliste sowie auf der Website und sonstigen Werbe- und Informationsmaterialien anzugeben.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

11.1 Ohne die vorherige schriftliche Einwilligung ist keine Partei berechtigt, ihre Rechte aus dem Vertrag oder einem Auftrag ganz oder teilweise an Dritte abzutreten.<\/p>

11.2 Der Kunde ist nicht berechtigt, gegen\u00fcber den Forderungen von Time Change aufzurechnen, es sei denn, die Gegenanspr\u00fcche sind rechtskr\u00e4ftig festgestellt oder unbestritten.<\/p>

11.3 Ein Zur\u00fcckbehaltungsrecht darf nur ausge\u00fcbt werden, wenn der Gegenanspruch aus demselben Vertrag herr\u00fchrt.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

12.1 Vereinbarungen, welche diese AGB oder einen Auftrag \u00e4ndern oder erg\u00e4nzen, bed\u00fcrfen zu ihrer Wirksamkeit der Schriftform, soweit nicht nach zwingendem Recht eine strengere Form erforderlich ist. Dies gilt auch f\u00fcr eine \u00c4nderung dieser Schriftformklausel.<\/p>

12.2 Sofern in diesem Vertrag das Erfordernis schriftlicher Erkl\u00e4rungen vereinbart ist, so gen\u00fcgt hierf\u00fcr die telekommunikative \u00dcbermittlung gem\u00e4\u00df \u00a7 127 Abs. 2 BGB. Ausgenommen hier-von ist das Schriftformerfordernis nach Ziffern 9.4 und 11.1, f\u00fcr welches \u00a7 126 BGB vereinbart ist.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

13.1 Dieser Vertrag unterliegt ausschlie\u00dflich dem Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (UN-\u00dcbereinkommen \u00fcber Vertr\u00e4ge \u00fcber den internationalen Warenkauf vom 11.04.1980).<\/p>

13.2 Ausschlie\u00dflicher Gerichtsstand f\u00fcr Streitigkeiten \u00fcber Rechte und Pflichten aus diesem Vertrag einschlie\u00dflich seiner Wirksamkeit ist, soweit gesetzlich zul\u00e4ssig, Berlin, Bundesrepublik Deutschland.<\/p>

13.3 Die Unwirksamkeit oder Undurchf\u00fchrbarkeit einer oder mehrerer Regelungen dieses Vertrages l\u00e4sst die Wirksamkeit der \u00fcbrigen Regelungen dieses Vertrages unber\u00fchrt. Dasselbe gilt f\u00fcr den Fall, dass der Vertrag eine an sich notwendige Regelung nicht enth\u00e4lt. Anstatt der unwirksamen oder undurchf\u00fchrbaren Regelung oder zur Ausf\u00fcllung der Regelungsl\u00fccke gilt die gesetzlich zul\u00e4ssige und durchf\u00fchrbare Regelung, die dem Sinn und Zweck der unwirksamen, undurchf\u00fchrbaren oder fehlenden Regelung nach der Vorstellung der Parteien wirtschaftlich am n\u00e4chsten kommt. Die Parteien sind verpflichtet, eine solche Bestimmung in gebotener Form, jedoch zumindest schriftlich, zu best\u00e4tigen.
